Terms of Service

These Terms of Service (“Terms”) govern your access to and use of all products, services, software, and websites operated under the Insideflows brand, which is owned and operated by USXP LLC, a Wyoming limited liability company (“Company,” “we,” “us,” or “our”). By accessing, purchasing, or using any Insideflows services, you agree to be bound by these Terms. If you do not agree, you must not access or use any of our services.

1. Overview of Services

Insideflows provides a combination of digital products, subscription-based software, and done-for-you services designed to support personal branding, content creation, and growth on platforms such as LinkedIn. These offerings include, but are not limited to, Personal Brand OS (a structured brand and content system), LinkedIn Growth Services (managed services including content creation, publishing, and outreach), and Insideflows AI (a subscription-based platform providing AI-powered tools and assistants). All services are delivered digitally and may evolve over time. We reserve the right to modify, replace, or discontinue any part of our services at any time, with or without notice.

2. Eligibility

By using Insideflows, you confirm that you are at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement. You further confirm that your use of the services does not violate any applicable laws or regulations in your jurisdiction. If you are using the services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

Nothing in these Terms shall be deemed to create any partnership, joint venture, employment, or agency relationship between you and Insideflows or USXP LLC. You agree that you are acting solely as an independent user or client of the services.

3. Account Registration and Responsibility

Certain services require the creation of an account. You agree to provide accurate, complete, and current information during registration and to maintain the security of your login credentials. You are solely responsible for all activities that occur under your account, whether authorized by you or not. Insideflows is not liable for any loss or damage resulting from unauthorized access to your account. We reserve the right to suspend, restrict, or terminate accounts at our sole discretion, including in cases of suspected misuse, fraudulent activity, or violation of these Terms.

4. Payments, Billing, and Refund Policy

All payments for Insideflows products and services are processed through third-party payment providers, including but not limited to Stripe, Whop, and, in certain cases, direct bank transfer. Prices are primarily listed in United States Dollars (USD), with alternative currencies supported at our discretion. By purchasing any product or service, you agree to pay all applicable fees in full.

Due to the nature of digital products, immediate access to proprietary systems, and the allocation of service resources upon purchase, all sales are final and non-refundable. This policy applies to all offerings, including one-time purchases, subscription plans, service retainers, and credit-based usage. By completing a purchase, you acknowledge and agree that you will not be entitled to a refund, chargeback, or reversal under any circumstances, except where required by law.

If a payment fails, is declined, or is reversed, access to the associated service may be suspended or terminated immediately without notice. No grace periods are provided for failed payments, and we reserve the right to recover any outstanding balances.

You agree not to initiate any chargeback, payment reversal, or dispute with your payment provider without first contacting Insideflows to attempt a resolution. Unauthorized or fraudulent chargebacks may result in immediate suspension or termination of your account and access to services.

Insideflows reserves the right to recover any outstanding amounts, including associated fees, collection costs, and legal expenses incurred as a result of such disputes. You are responsible for any applicable taxes, duties, or levies associated with your purchase or use of Insideflows services, including but not limited to VAT, GST, or sales taxes imposed by your jurisdiction.

5. Subscription Services (Insideflows AI)

Insideflows AI operates on a subscription basis, with billing cycles available on a monthly or yearly basis. Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to renewal. You may cancel your subscription at any time; however, cancellation will take effect at the end of the current billing period, and no prorated refunds will be issued for unused time.

The platform may operate on a credit-based system. Monthly subscription credits reset at the beginning of each billing cycle and do not roll over. Additional credits purchased as add-ons are non-refundable and non-transferable and do not expire unless otherwise stated. We reserve the right to modify credit allocations, pricing, and usage structures at any time.

We may implement fair usage limits or restrictions to prevent abuse, ensure platform stability, and maintain service quality. Accounts found to be engaging in excessive, abusive, or prohibited usage may be restricted or terminated.

6. Personal Brand OS

Personal Brand OS is delivered as a digital product via secure access link and includes structured systems, content frameworks, and strategic guidance. Support is provided during the active build phase and may include communication via email, chat, or phone. Timelines for delivery and completion are estimates and may vary based on scope, responsiveness, and other operational factors. Once delivered, the product is considered fulfilled and subject to the no refund policy outlined above.

7. LinkedIn Growth Services

LinkedIn Growth Services are provided on a recurring basis, typically month-to-month, unless otherwise agreed in writing (e.g., quarterly, bi-annual, or annual engagements). Clients may cancel these services by providing at least seven (7) days’ notice prior to the next billing cycle.

By engaging these services, you grant Insideflows access to your LinkedIn account and any necessary associated tools or platforms required to perform the services. You acknowledge that you are solely responsible for ensuring that your account remains compliant with LinkedIn’s terms, policies, and guidelines.

Insideflows may create, edit, publish, and manage content on your behalf. Where applicable, you may be given the opportunity to review and approve content prior to publication; however, you may also authorize Insideflows to operate autonomously. In all cases, you remain ultimately responsible for the content published under your account.

We do not guarantee any specific results, including but not limited to audience growth, engagement rates, lead generation, or revenue outcomes. Additionally, Insideflows shall not be held liable for any platform-related consequences, including account restrictions, reduced visibility, shadowbans, or enforcement actions imposed by LinkedIn or any third party.

All services are limited to the scope defined at the time of purchase or agreement. Any additional requests, revisions, or work outside of the agreed scope may require additional fees and may not be fulfilled unless explicitly agreed upon in writing.

You acknowledge that timely communication, approvals, and provision of required materials are essential for service delivery. Insideflows shall not be held responsible for delays, reduced performance, or unmet timelines resulting from your failure to provide necessary input, access, or feedback.

You are solely responsible for the accuracy, legality, and appropriateness of all content published under your account, including content created or managed by Insideflows on your behalf. You agree to ensure that all claims, statements, and representations comply with applicable laws and regulations. Insideflows shall not be liable for any damages, claims, or legal issues arising from content published on your behalf.

8. Acceptable Use and Restrictions

You agree to use Insideflows services only for lawful and legitimate purposes. You may not misuse the platform, including but not limited to attempting to reverse engineer, copy, scrape, or exploit any part of the system. You may not use the services to generate or distribute harmful, illegal, misleading, or spam content. Sharing account access, reselling services, or using the platform in a way that disrupts other users or violates third-party platform rules is strictly prohibited.

Violation of these terms may result in immediate suspension or termination of your account without notice.

9. AI-Specific Terms

Insideflows AI provides outputs generated by artificial intelligence systems. These outputs are inherently probabilistic and may not be accurate, complete, or suitable for your specific use case. All AI-generated content is provided for informational purposes only and should not be relied upon as professional, legal, financial, or strategic advice.

You are solely responsible for reviewing, validating, and approving any content generated before use or publication, unless content is explicitly managed by Insideflows under a separate service agreement.

Insideflows is not liable for any consequences arising from the use of AI-generated content, including business outcomes, reputational impact, or platform enforcement actions.

10. Confidentiality & Intellectual Property

Both parties agree to maintain the confidentiality of any non-public, proprietary, or sensitive information shared in connection with the use of Insideflows services. You agree not to disclose, reproduce, or use such information for any purpose other than as required to use the services. This obligation shall survive termination of these Terms.

You retain ownership of the final outputs created for your use, including content generated through the platform or delivered through services. However, all underlying systems, frameworks, software, methodologies, and proprietary processes remain the exclusive property of Insideflows and USXP LLC.

You may not copy, reproduce, distribute, or create derivative works based on our systems without prior written consent.

11. Termination

Insideflows reserves the right to suspend or terminate your access to any service at any time, with or without notice, for reasons including but not limited to non-payment, misuse, breach of these Terms, or actions that may harm the platform or other users. While we may provide warnings in certain cases, we are not obligated to do so.

12. Service Availability

All services are provided on an “as-is” and “as-available” basis. We do not guarantee uninterrupted access, error-free performance, or continuous availability. Downtime may occur due to maintenance, system updates, or third-party dependencies. Insideflows services may rely on third-party providers, platforms, and technologies, including but not limited to AI model providers, payment processors, hosting services, and social media platforms. We are not responsible for the performance, availability, changes, or actions of these third parties, including any limitations, disruptions, or policy changes that may impact your use of our services.

13. Modifications to Services

We reserve the right to modify, update, or discontinue any part of our services, including pricing, features, and functionality, at any time. Such changes may occur without prior notice where necessary. From time to time, Insideflows may release features that are labeled as “beta,” “experimental,” or similar. These features may be incomplete, unstable, or subject to change or removal at any time. Your use of such features is at your own risk.

14. Data and Storage Disclaimer

Insideflows does not guarantee the storage, retention, or recovery of user data. You are solely responsible for maintaining backups of any content, outputs, or information generated through the platform. We are not liable for any loss of data or content.

15. Affiliate and Referral Programs

We may offer affiliate or referral programs at our discretion. Participation in such programs is subject to additional terms, which may be modified or revoked at any time without notice.

16. Indemnification

You agree to indemnify, defend, and hold harmless Insideflows and USXP LLC from and against any claims, damages, liabilities, costs, or expenses arising from your use of the services, your violation of these Terms, your misuse of AI-generated content, or your breach of any third-party agreements or platform policies.

You agree that during your use of Insideflows services and for a period of twelve (12) months thereafter, you will not directly or indirectly solicit, hire, or engage any employees, contractors, or representatives of Insideflows without prior written consent.

17. Limitation of Liability

To the maximum extent permitted by law, Insideflows’ total liability for any claim arising out of or relating to the use of its services shall not exceed the amount paid by you in the thirty (30) days preceding the claim. Under no circumstances shall Insideflows be liable for any indirect, incidental, consequential, or special damages, including loss of revenue, loss of business opportunities, or platform-related penalties.

18. Force Majeure

Insideflows shall not be held liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, internet outages, infrastructure failures, or disruptions from third-party service providers such as payment processors or AI model providers.

19. Governing Law and Dispute Resolution

Insideflows may assign or transfer its rights and obligations under these Terms without restriction. You may not assign, transfer, or delegate your rights or obligations without prior written consent.

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States. Any disputes arising from or relating to these Terms shall be resolved exclusively through binding arbitration, and you waive your right to participate in class actions or jury trials.

20. Geographic Availability

Insideflows services are offered globally but are limited to users in jurisdictions supported by our payment processors and app store platform providers. We reserve the right to restrict access or reject clients in certain regions that are non-compliant.

21. In-App Purchases and Billing Through Platform Providers

If you purchase subscriptions or services through the Apple App Store or Google Play Store, such transactions are processed and managed by the respective platform provider. By making an in-app purchase, you acknowledge and agree that:

• Payment processing, billing, and transaction management are handled by Apple or Google

• You are subject to their respective terms, conditions, and refund policies in addition to these Terms

• Insideflows does not have control over platform billing systems, payment processing, or refund decisions

All purchases are final and non-refundable, except where required by applicable law or by the policies of the platform provider.

22. Subscription Management via App Stores

If you subscribe through the Apple App Store or Google Play Store:

• Subscriptions will automatically renew unless cancelled prior to the end of the current billing period

• You must manage, update, or cancel your subscription directly through your app store account settings

• Insideflows does not have the ability to cancel subscriptions on your behalf

You acknowledge that:

• Deleting the Insideflows application does not cancel your subscription

• Failure to cancel through the appropriate platform may result in continued billing

23. Platform-Specific Terms and Limitations

Your use of the Insideflows mobile application is also subject to the terms, policies, and guidelines of the platform through which it is distributed, including but not limited to:

• Apple App Store terms and conditions

• Google Play Store terms and policies

In the event of any conflict between these Terms and the platform provider’s terms, the platform provider’s terms may take precedence where applicable.

24. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Continued use of our services after changes are made constitutes your acceptance of the updated Terms. If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect. These Terms constitute the entire agreement between you and Insideflows regarding your use of the services and supersede all prior or contemporaneous agreements, communications, or understandings, whether written or oral.
